Terms of Service

The short version

These terms govern the services Sais Leads ("we", "us", "our") provides to your business ("you", "your"). By engaging us — signing a proposal, paying a setup fee, or letting us connect an assistant to your accounts — you agree to them.
These terms are between Sais Leads and our business clients. If you are a member of the public who has messaged one of our clients' assistants, the document that applies to you is our Privacy Policy.
What we provide
We build, host and maintain an automated messaging assistant for your business. Depending on what you've signed up for, this may include:
- An assistant that replies to enquiries on your Facebook Page, Messenger, Instagram account, WhatsApp business number, or TikTok account
- Qualification of enquiries — collecting what a prospective customer wants, their budget, and their contact details
- Handover of qualified enquiries to a person at your business
- Automated replies to comments on your posts, where enabled
- Ongoing hosting, monitoring and updates for as long as you remain a client
The exact scope, service tier, channels covered, and any volume limits are set out in the proposal you accepted.
What you're responsible for
- Accurate information. The assistant answers using information you give us about your business, products and prices. You're responsible for that information being correct and current, and for telling us when it changes.
- Access. Granting and maintaining the access we need to your Facebook Page, Meta Business account, Instagram account, WhatsApp Business account, or TikTok account.
- Following up. The assistant qualifies enquiries and hands them over. Contacting those people is your responsibility.
- Lawful use. Not using the assistant to send unsolicited bulk messages, mislead people, or breach Kenyan law or the platform policies of Meta or TikTok.
- Your own obligations to customers. You decide what happens to the information collected from people who message you. Under the Kenya Data Protection Act, 2019 you are the Data Controller and we act as your Data Processor.
Fees and payment
Fees are as set out in the proposal you accepted — typically a one-off setup fee and a recurring monthly fee based on your service tier.
- The setup fee is payable before we begin building.
- Monthly fees are payable in advance each month.
- Service tiers include a stated limit on enquiry volume and outbound messages. If you consistently exceed it, we'll flag it early and discuss moving you to a higher tier.
- If payment is more than 14 days overdue, we may suspend the assistant until the account is settled.
Message fees charged by Meta
This is worth stating plainly, because it's a cost we don't control.
Replies your assistant sends within the free window after a customer messages you are not charged by Meta. Messages sent outside that window — for example a follow-up several days later — are charged by Meta at their published rates for Kenya.
Where you own the WhatsApp number or Meta Business account, these charges are billed by Meta directly to you, not to us, and are not included in your monthly fee. We'll help you estimate them and design follow-ups to keep them low, but the rates and the billing relationship are Meta's.
Third-party platforms
The service runs on platforms we don't own — including Facebook, Messenger, Instagram, WhatsApp, TikTok and our hosting and AI providers. Your use of those platforms is subject to their own terms.
Those platforms change their rules, pricing and technical requirements from time to time, sometimes at short notice. We'll adapt the service where we reasonably can, but we're not responsible for outages, policy changes, account restrictions or price changes imposed by them.
Data protection
How we handle information from people who message your assistant is set out in our Privacy Policy. In short: you are the Data Controller, we are the Data Processor, and we process that information only to run the service for you.
Either of us may request a separate written Data Processing Agreement, and we'll enter into one on reasonable terms.
Ownership
- We own the underlying software, systems and methods we use to build and run assistants, including anything we develop while working with you.
- You own your business information, your brand, your customer data, and the content of conversations held on your accounts.
- You get a licence to use the assistant for your business for as long as you're a client.
- We may refer to you as a client and describe the work in general terms, unless you ask us in writing not to.
Service availability
We aim to keep your assistant running continuously, and we monitor it. We don't guarantee uninterrupted service — hosting providers, Meta, TikTok, and AI providers all occasionally have outages outside our control.
If something breaks on our side, we'll fix it as quickly as we reasonably can.
Limits on our liability
The assistant is an automated tool. It is not a substitute for professional advice, and it can occasionally produce an inaccurate or unexpected reply. You are responsible for reviewing enquiries before acting on them and for any commitments you make to your customers.
To the fullest extent permitted by Kenyan law, our total liability to you in connection with the service is limited to the fees you paid us in the three months before the claim arose. We are not liable for lost profits, lost business, or lost opportunities.
Nothing in these terms limits liability that cannot lawfully be limited.
Ending the agreement
- Either of us may end the agreement by giving 30 days' written notice.
- Fees already paid for the current month are not refundable, but you keep the service to the end of that month.
- We may suspend or end the service immediately if it's being used unlawfully, or in breach of Meta's or TikTok's policies in a way that puts our platform access at risk.
- On request within 30 days of ending, we'll give you an export of your lead data. After that, we delete it in line with our Privacy Policy.
Changes to these terms
We may update these terms from time to time. If a change materially affects you, we'll tell you before it takes effect. Continuing to use the service after that means you accept the updated terms.
Governing law
These terms are governed by the laws of Kenya, and the courts of Kenya have exclusive jurisdiction over any dispute. Before going to court, we both agree to try to resolve things by discussion first.
